01 — Acceptance of Terms

By accessing or using Co-Walk, you agree to be bound by these Terms. If you do not agree, do not use the App.

02 — Description of Service

Co-Walk is a platform that connects individuals who wish to walk together. We provide a tool for users to find and coordinate walking activities with other users in their area.

⚠ Co-Walk is a platform service only. We do not organize, supervise, or participate in any walks. We are not responsible for the conduct of any users or the safety of any walks.

03 — Assumption of Risk & Liability Waiver

Voluntary Participation

You acknowledge that participation in walking activities is voluntary, walking with strangers carries inherent risks, you are solely responsible for your own safety, and we do not conduct background checks or screen users beyond basic profile verification.

Assumption of Risk

BY USING CO-WALK, YOU EXPRESSLY ASSUME ALL RISKS associated with: meeting and walking with other users; physical injury, illness, or death; theft, assault, harassment, or other criminal activity; accidents, falls, or environmental hazards; and any other harm that may occur before, during, or after a walk.

Release of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE Co-Walk, its owners, operators, employees, agents, and affiliates from any and all liability, claims, demands, actions, and causes of action arising out of or related to any loss, damage, injury, or death that may be sustained by you, whether caused by the negligence of the Released Parties or otherwise, while participating in any activity facilitated through the App.

Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of the App or participation in any walks.

04 — User Responsibilities

Safety Precautions

You are solely responsible for vetting potential walking partners, meeting in public places, informing friends or family of your plans, using emergency contact features if desired, exercising common sense, and complying with all applicable laws.

⚠ THE APP'S SAFETY FEATURES (including SOS button and emergency contacts) ARE CONVENIENCE TOOLS ONLY — not a substitute for 911. In an actual emergency, CALL 911 IMMEDIATELY.

GPS Distance Tracking

  • GPS tracking is OPTIONAL — manual distance entry is always available
  • GPS accuracy may vary based on device, weather, and environment
  • Distance calculations are estimates
  • GPS tracking automatically stops when walks end or after 90 minutes
  • Background location is only used during active walks with auto-tracking enabled

05 — User Conduct

You agree not to use the App for illegal purposes, harass or harm other users, impersonate another person, share false information, use the App for commercial solicitation, or violate any applicable laws. Community Guidelines violations follow a three-strike system: warning → 7-day suspension → permanent posting ban. Severe violations (illegal activity, threats, sexual content, hate speech) result in immediate permanent ban.

06 — Account Security

You are responsible for maintaining confidentiality of your credentials, all activities under your account, and notifying us immediately of any unauthorized access.

07 — Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT: the App will meet your requirements; users are who they claim to be; walks will be safe or pleasant; emergency features will function as expected; GPS distance tracking will be accurate; or photo moderation will catch all inappropriate content.

08 — Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE for any harm, injury, death, property damage, or loss resulting from: interactions between users; any walks arranged through the App; the conduct of any user; criminal acts; accidents or emergencies during walks; GPS tracking inaccuracies; or photos that pass automated moderation.

Our total liability to you for any claims shall not exceed the amount you paid us in the twelve (12) months prior to the claim, or $100, whichever is less.

09 — Third-Party Services

The App integrates with third-party services including maps, SMS (Twilio), payment processors (Stripe, Apple), and photo moderation (AWS Rekognition). We are not responsible for the availability, privacy practices, or accuracy of any third-party service.

10 — User Content

You retain ownership of content you post. By posting, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with the App. All photos are automatically scanned via AWS Rekognition. Appeal photo rejections at info@cowalk.app.

11 — Privacy

Your use of the App is governed by our Privacy Policy, incorporated by reference. By using the App, you consent to our collection and use of your information as described therein.

12 — Intellectual Property

The App and its content (excluding user content) are owned by Co-Walk and protected by copyright, trademark, and other IP laws. You may not copy, modify, distribute, reverse engineer, or use our trademarks without authorization.

13 — Termination

You may delete your account anytime via Settings → Delete Account. We may suspend or terminate your access at any time, with or without cause. Upon deletion, your data is deleted within 30 days (backup copies within 90 days), except data required for legal compliance or dispute resolution. Request your data at info@cowalk.app.

14 — Dispute Resolution

These Terms are governed by Texas law. Disputes shall be resolved through binding arbitration per AAA rules in Travis County, Texas. You waive your right to class action lawsuits or class-wide arbitration. Either party may seek injunctive relief for IP violations.

15 — General Provisions

These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and Co-Walk. We may modify these Terms at any time; continued use constitutes acceptance. Material changes will be notified via email or in-app notification.

16 — Age Requirement

You must be at least 18 years old to use Co-Walk. By using the App, you represent that you are at least 18.

17 — California Residents

Under California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or call (916) 445-1254 or (800) 952-5210. App questions: info@cowalk.app.

iOS subscriptions are processed through Apple In-App Purchase. Android (future) via Google Play. Web (future) via Stripe. Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period. No refunds for partial periods. Contact info@cowalk.app for billing issues. Pricing changes provided with 30 days' notice.
